1. Introduction and Acceptance of Terms

Welcome to Texas Constructive Network ("TXN," "we," "our," or "us"), operated by TXN Development Group LLC, a Texas limited liability company. These Terms of Service ("Terms") govern your access to and use of the TXN platform, website, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Services

TXN is a private, subscription-based networking platform designed exclusively for construction professionals, builders, developers, subcontractors, real estate professionals, vendors, and related service providers operating in the state of Texas. The Service facilitates professional connections, project collaboration, and business development opportunities among vetted members.

TXN reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Eligibility Requirements

To use the Service, you must:

• Be at least 18 years of age
• Be engaged in lawful business activity within the construction or real estate industry in Texas
• Provide accurate and truthful information during registration
• Maintain a valid email address and payment method
• Comply with all applicable federal, state, and local laws

TXN reserves the right to reject any application or terminate any membership at its sole discretion.

4. Member Conduct Rules

Members agree to conduct themselves professionally and ethically while using the Service. Prohibited activities include, but are not limited to:

• Harassment, threats, or discriminatory behavior toward other members
• Fraud, misrepresentation, or impersonation
• Posting false, misleading, or deceptive information
• Scraping, copying, or unauthorized collection of member data
• Spam, solicitation, or unsolicited advertising
• Violating the intellectual property rights of TXN or other members
• Attempting to bypass security measures or access restricted areas
• Using automated tools, bots, or scripts without authorization
• Engaging in illegal activity or promoting unlawful conduct

Violations may result in immediate suspension or termination of your account without refund.

5. Intellectual Property Ownership

All content, design, branding, trademarks, logos, software, and materials provided through the Service are the exclusive property of TXN Development Group LLC and are protected by United States copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works of any TXN materials without express written permission.

6. Member-Generated Content

You retain ownership of content you upload to the Service (including profile information, photos, posts, and messages). However, by submitting content, you grant TXN a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your content in connection with operating and promoting the Service.

You represent and warrant that:

• You own or have the right to use all content you submit
• Your content does not infringe on the rights of others
• Your content is accurate and not misleading
• You are solely responsible for all content you post

TXN reserves the right to remove any content that violates these Terms or is otherwise objectionable, without prior notice.

7. Subscription and Automatic Renewal

TXN offers subscription-based memberships that automatically renew on a recurring basis (monthly or annually) until canceled. By subscribing, you authorize TXN to charge your payment method on file at the start of each billing cycle.

Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You are responsible for all charges incurred through the renewal date.

8. Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing cycle. You will retain access to the Service until the end of the paid period.

No Prorated Refunds: Cancellations do not result in prorated refunds for unused portions of the subscription period.

9. Refund Policy

All membership fees are generally non-refundable except as required by law or at TXN's sole discretion. Refund requests must be submitted in writing within seven (7) days of the charge.

Billing errors or technical issues will be reviewed on a case-by-case basis. Approved refunds will be processed to the original payment method within 10 business days.

10. Failed Payment Policy

If your payment method fails or is declined, TXN will attempt to notify you and process the payment again. Continued non-payment may result in suspension or termination of your account.

You are responsible for maintaining a valid payment method and updating payment information as needed.

11. Chargeback Protection

Fraudulent chargebacks or payment disputes filed without legitimate cause will result in immediate termination of your account and potential legal action. You agree to contact TXN directly to resolve billing issues before initiating a chargeback.

12. Limitation of Liability

TXN provides the Service "as is" and "as available" without warranties of any kind, express or implied. TXN does not guarantee:

• Specific business results, contracts, revenue, or opportunities
• The accuracy, reliability, or completeness of member-provided information
• Uninterrupted or error-free operation of the Service
• The suitability of any member for a particular project or partnership

To the maximum extent permitted by law, TXN and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service.

In no event shall TXN's total liability exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

13. Disclaimers

Not a Contractor, Broker, or Agent: TXN is a technology platform that facilitates networking and communication. TXN is not a general contractor, subcontractor, real estate broker, employment agency, or agent. We do not perform construction work, broker deals, or act as a party to any transactions between members.

Member-to-Member Transactions: All transactions, agreements, contracts, and disputes between members are solely between those members. TXN is not responsible for the performance, quality, legality, or safety of any work, projects, or business dealings conducted between members.

Members are solely responsible for:

• Verifying credentials, licenses, and insurance of other members
• Negotiating and enforcing contracts
• Resolving disputes or payment issues
• Ensuring compliance with applicable laws and regulations

14. Indemnification

You agree to indemnify, defend, and hold harmless TXN Development Group LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you submit or actions you take on the platform

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

16. Right to Modify Terms

TXN reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Service. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

Material changes to pricing, subscription terms, or cancellation policies will be communicated via email at least thirty (30) days in advance.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TXN regarding the Service and supersede all prior agreements or understandings.
